Global Vendor Agreement

Last updated: October 22, 2026

This Global Vendor Agreement ("Agreement") is between Elefair International Inc ("Elefair") and the person or entity registering a seller account ("Seller", "you"). It incorporates the Terms of Service, International Payout & Currency Settlement Policy, Cross-Border Commission & Fee Structure, Prohibited & Restricted Items Policy, Global Vendor Shipping & Fulfillment Policy and Cross-Border Tax Responsibility Policy.

1. Eligibility and verification

You must be 18+, operate a lawful business (sole proprietors allowed) and pass verification (KYC) when requested: government ID, business name/registration, address proof and bank or wallet ownership. US sellers provide tax information on IRS Form W-9; non-US sellers provide Form W-8BEN (individuals) or W-8BEN-E (entities) or an equivalent declaration before the first payout. Elefair may request updated documents at any time and may hold payouts until verification is complete.

2. Listings

You warrant that every listing is accurate, lawful, non-infringing and that you have the right to sell the item; that product identifiers (UPC/EAN/GTIN, MPN, brand) are correct; and that items are new unless clearly stated. New sellers' first listings are reviewed by Elefair; listings matching our blocked-brand (VeRO) list are held. Elefair may edit, rewrite (including with AI), suppress or remove listings, and may list your items on partner channels (eBay, Walmart, Google Shopping, the Elefair app) at the same price unless you opt out in Channels.

3. Orders and fulfilment

You must ship each order within your stated handling time (default 2 business days), with a valid tracking number entered on Elefair, to the buyer's address exactly as shown, using carriers listed in the Shipping Policy. Orders not shipped within 5 business days may be cancelled and refunded by Elefair; repeated late shipment, cancellations above 5%, or item-not-as-described rates above 3% may lead to listing limits or suspension.

4. Pricing, fees and statements

You set your prices in USD. For every sale Elefair issues an itemised statement: sale price − Elefair marketplace cost − channel costs (when sold on eBay/Walmart) − tax collected − ad cost (if promoted) − other costs = net to you. Fees are those published in the Fee Structure at the time of sale. Promotions and coupons you create are funded by you; Elefair-funded promotions do not reduce your net.

5. Payments, holds and payouts

Elefair collects buyer payment and holds funds under Buyer Protection until delivery plus the hold period stated in the Payout Policy (default 7 days). You may request withdrawals above the minimum to a verified payout method. Elefair may offset refunds, chargebacks, claims, fees and penalties against your balance and may extend holds for accounts under review.

6. Returns, refunds and disputes

You honour the return window shown on your listing (default 30 days) and the Buyer Protection Policy. Elefair decides disputes based on tracking, evidence and policy; its decision is final within the Platform. You remain free to pursue the buyer directly.

7. Buyer data

Buyer information is provided solely to fulfil the order. You may not store it beyond legal requirements, contact buyers for marketing, or add them to lists without their separate consent (see GDPR notice).

8. Taxes and compliance

You are responsible for income tax in your jurisdiction and for any VAT/GST registration your home country requires. Elefair collects and remits US sales tax where it is the marketplace facilitator (see Tax Policy). You must comply with export controls, sanctions and consumer-product safety rules for the destination.

9. Term, suspension and termination

Either party may terminate on 14 days' notice; open orders must be completed. Elefair may suspend immediately for fraud, IP infringement, prohibited items, policy abuse or legal risk, and may retain funds for up to 180 days to cover claims. You may export your data and request closure once your balance is zero.

10. Independent contractor; no exclusivity

Nothing creates an employment, partnership, agency or exclusive relationship. You may sell elsewhere.

11. Governing law

New York law and the dispute terms of the Terms of Service apply.
